Terms of Service

“Company”, “we”, “us” refers to Sendemail Tech Private Limited, a company incorporated in India with its registered office at Office no 16, Kanakpur, Thane, Mumbai, Maharashtra 431302.

“Service” means the Sendemail web application, APIs, integrations and related documentation. “Customer” or “you” means the organization that subscribes to the Service. “Authorized User” means an individual permitted by the Customer to access the Service. “Customer Data” means lead records, email content, mailbox metadata and analytics generated through your use of the Service.

You must be at least 18 years old and capable of entering into a binding contract. You are responsible for the accuracy of registration information, for safeguarding credentials, and for all activity that occurs under your account.

Accounts are provisioned to organizations. Administrators may invite, suspend or remove Authorized Users and are responsible for their conduct on the Service.

We grant you a non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during your subscription term, subject to your plan limits.

Subscription fees are stated in Indian Rupees and billed monthly or annually in advance. Fees are exclusive of GST and other applicable taxes, which will be added to your invoice.

Usage beyond your plan's sending or verification limits may require an upgrade or incur overage charges disclosed before they are applied. Plan changes take effect at the start of the next billing cycle unless stated otherwise.

You retain all right, title and interest in Customer Data. You grant us a limited licence to host, process and transmit Customer Data solely to provide, secure and support the Service.

We retain ownership of the Service, including all software, models, designs and documentation. Feedback you provide may be used to improve the Service without obligation to you.

Email delivery and inbox placement depend on third-party mailbox providers, your domain reputation, list quality and message content. We provide tools, monitoring and recommendations, but we do not guarantee delivery, inbox placement, open rates, reply rates or meetings booked.

The Service integrates with third-party providers such as Google, Microsoft, HubSpot, Salesforce, Slack and payment processors. Your use of those services is governed by their terms, and we are not responsible for their availability or actions.

We may suspend access immediately where we reasonably believe there is abuse, unlawful sending, a security risk, or non-payment beyond 14 days after notice. We will restore access once the cause is resolved.

You may terminate at any time from the billing page. Termination takes effect at the end of the current billing period. On termination, Customer Data is available for export for 30 days and is then deleted in accordance with our Privacy Policy.

The Service is provided on an “as is” and “as available” basis except where an Enterprise service level agreement applies. To the maximum extent permitted by law, we disclaim implied warranties of merchantability and fitness for a particular purpose.

To the extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees paid by you in the twelve months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental or consequential damages, or loss of profits or goodwill.

You will indemnify and hold us harmless against third-party claims arising from your Customer Data, your email content, or your breach of these terms or applicable law, including anti-spam and data protection legislation.

We may update these terms to reflect changes to the Service or the law. Material changes will be notified by email or in-app at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.

These terms are governed by the laws of India. The courts at Mumbai, Maharashtra have exclusive jurisdiction. The parties will attempt good-faith resolution for 30 days before commencing proceedings.
